Another independent director of Indra announces his resignation

One of the two independent directors who remained at Indra, Ignacio Martín, has informed the highest governing body of the multinational that he will leave his post in October despite having two years left in his mandate -until June 2024-.

Another independent director of Indra announces his resignation

One of the two independent directors who remained at Indra, Ignacio Martín, has informed the highest governing body of the multinational that he will leave his post in October despite having two years left in his mandate -until June 2024-. The announcement comes hours after another independent, Silvia Iranzo, resigned due to her disagreement with the changes agreed at the Shareholders' Meeting last week, which ended with the dismissal and non-reelection of five independent directors.

However, Ignacio Martín has promised to leave the technological council in four months, once the renewal process of the members of this body is completed. Martín, the independent director with the longest track record on Indra's board -he has been on the board for four years-, will be one of the figures to lead the selection of new independent directors together with Francisco Javier García Sanz, the other director with this category who remains on the signature.

Both, with the presidency of Martín, will be part of the new appointments commission that will have Antonio Cuevas as the third member and will have the advice of a specialized consultant. Martín has expressed his willingness to continue as a director until the end of this process, so that the appointments committee can select "with absolute freedom and propose with full independence of criteria the most suitable candidates for the position of independent director" .

The company has conveyed its respect for the principles of good governance and has started a process so that "as soon as possible" the board has at least 50% independents, the majority of whom are women, since the four there were.

Likewise, the appointment of the third director to which the State Industrial Participation Society (SEPI) is entitled is also on the table, since it has exceeded 23% of the capital, and that will be Juan Moscoso, although it has not yet been proposed officially.

The Board has also remodeled two other committees of the entity with García Sanz at the head of the Audit and Compliance Committee and Martín at the head of the Sustainability Committee. Both are also members of the non-chairing commission to meet the majority of independents. Both commissions are completed by Miguel Sebastián.
